ABA Job Description

 

LEGAL ADVISOR/CORPORATION REPRESENTATIVE

 

BASIC FUNCTION

The Legal Advisor shall be responsible for the handling of all legal matters for the Corporation. He/she shall be consulted prior to the signing of all contracts that bind the Corporation.  As Incorporator and current Connecticut Statutory Resident Agent, continue to correspond and work with the Office of the Secretary of the State of Connecticut, as well as other State Divisions and Offices, to fulfill all of the legal obligations of any corporation organized under Chapter 600 of the General Statutes of Connecticut.

 

LEGAL ADVISOR/CORPORATION REPRESENTATIVE QUALIFICATIONS

    1. Have the necessary legal educational background

    2. Be able to devote the necessary time to handle the aforementioned jobs satisfactorily.

    3. Be thoroughly conversant with the bylaws of the organization; ABA Past

      President experience desirable.

Current Procedures

 

Legal Advisor

1. Perform all duties stated in the ABA Bylaws

2. Complete all correspondence and telephone communication necessary to handle the legal matters for the corporation.

3. Have possession of all insurance policies of the corporation.

4. Attend all sessions of the Executive Board and the convention plenary sessions.

5. Remit to Treasurer all expenses, with receipts, when the job is completed but no later than end of fiscal year, March 31st. Committees whose budgets are large, remit expenses with receipts for payment periodically and send in any remaining expense no later than end of fiscal year, March 31st.

6. Submit four copies of annual report to ABA Recording Secretary at the Executive Committee meeting held before the annual convention; if not attending convention, send four copies of annual report to the President three weeks before convention.

7. Attend all meetings of the Corporation, the Executive Board, and the Executive Committee.

8. Review and approve all contracts that bind the corporation, prior to their signing.
